Payment Terms

• Late Payments: Late payments may be subject to interest charges of 1.5% per month
• Refunds: Refunds are handled on a case-by-case basis as outlined in our refund policy
• Additional Costs: Any additional services requested beyond the original scope will be billed separately

Intellectual Property

All intellectual property rights in the services and any content provided through our services remain the property of Americans Viewer or our licensors, unless otherwise specified.

Upon full payment for custom development services, clients are granted a license to use the delivered software or website as specified in the service agreement. Source code ownership and licensing terms will be clearly outlined in your project agreement.

You may not:

• Reproduce, distribute, or create derivative works of our proprietary software or content
• Reverse engineer, decompile, or disassemble any software provided by us
• Remove any copyright, trademark, or other proprietary notices
• Use our intellectual property in any manner not expressly permitted in these Terms

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information exchanged during the course of our business relationship. This includes but is not limited to:

• Business strategies and plans
• Technical specifications and source code
• Customer information and databases
• Financial information
• Trade secrets and proprietary processes

This confidentiality obligation shall survive the termination of our business relationship for a period of five (5) years.

Warranty & Disclaimer

We warrant that our services will be performed in a professional and workmanlike manner. We will use reasonable efforts to deliver services that meet the specifications outlined in your service agreement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AMERICANS VIEWER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising out of or relating to these terms or the services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Dispute Resolution

If you have any concern or dispute about the service, you agree to first try to resolve the dispute informally by contacting us at [email protected].

If the dispute cannot be resolved through informal negotiations, the parties agree to resolve the dispute through binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall be conducted in Santa Clara County, California, and the decision of the arbitrator shall be final and binding.

Governing Law

These Terms shall be interpreted and governed by the laws of the State of California, United States, without regard to its conflict of law provisions.

Any legal action or proceeding relating to these Terms will be brought exclusively in the federal or state courts located in Santa Clara County, California.
